04Payment Terms

All invoices are due within 15 days of receipt. Late payments are subject to a 1.5% monthly late fee. Payments may be made by bank transfer, check payable to TwoRoots Consulting LLC, or other agreed method.

05Confidentiality

Both parties agree to keep confidential all proprietary information shared during this engagement. Consultant shall not disclose any client data or business information to third parties without written consent.

06Intellectual Property

All work product and deliverables created by Consultant for Client under this agreement shall become the property of Client upon receipt of full payment.

07Independent Contractor

Consultant is an independent contractor and not an employee of Client. Consultant is responsible for all applicable taxes on compensation received.

08Limitation of Liability

Consultant's total liability under this agreement shall not exceed the total fees paid by Client under this agreement.

09Termination

Either party may terminate this agreement with 30 days written notice. Client shall pay for all work completed up to the date of termination.

10Governing Law

This agreement is governed by the laws of the State of Texas.
